Welcome to Prasar.

These Terms and Conditions ("Terms") govern your access to and use of the Prasar platform, website, software, applications, and related services (collectively, the "Service"), operated by thehp ("Company", "we", "our", or "us").

By accessing or using Prasar, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Service immediately.

1. About Prasar

Prasar is a messaging automation and marketing platform that enables users to manage communications through their own messaging accounts and devices.

Prasar provides software tools designed to assist users in communication, customer engagement, marketing campaigns, and automation workflows. Prasar does not provide telecommunications services and does not control third-party messaging networks.

2. Independent Service

Prasar is an independent software platform operated by thehp.

Prasar is not affiliated with, endorsed by, sponsored by, authorized by, or otherwise officially associated with WhatsApp, Meta Platforms, Inc., or any of their subsidiaries or affiliates.

All third-party trademarks, service marks, logos, and brand names remain the property of their respective owners.

3. Eligibility

By using the Service, you represent and warrant that:

  • You are at least 18 years old.

  • You have the legal authority to enter into these terms.

  • You will use the Service in compliance with all applicable laws and regulations.

  • All information provided to Prasar is accurate and complete.

4. User Responsibilities

You are solely responsible for:

  • Your messaging accounts and connected devices.

  • All content transmitted through the Service.

  • Compliance with applicable privacy, marketing, anti-spam, and telecommunications laws.

  • Obtaining any necessary permissions or consent from message recipients.

  • Maintaining the security of your account credentials and connected devices.

You agree not to use the Service for:

  • Unsolicited bulk messaging or spam.

  • Fraudulent, misleading, or deceptive activities.

  • Distribution of malicious software.

  • Harassment, abuse, threats, or illegal content.

  • Activities that violate third-party platform policies.

5. Third-Party Platform Risks

Prasar interacts with third-party messaging platforms that operate independently from us.

You acknowledge and agree that:

  • Third-party platforms may modify their systems, policies, or technical requirements at any time.

  • Messaging accounts may be restricted, limited, suspended, or terminated by such platforms.

  • Message delivery may be delayed, blocked, filtered, or rejected by third-party providers.

Prasar has no control over such actions and cannot guarantee continued access, account availability, or message delivery.

Users assume full responsibility for any risks associated with the use of third-party messaging services.

6. No Guarantee of Results

Prasar does not guarantee:

  • Message delivery rates.

  • Inbox placement.

  • Open rates.

  • Customer responses.

  • Business outcomes.

  • Revenue generation.

  • Lead generation results.

The Service is provided as a technology platform only.

7. Credits and Payments

Certain features of Prasar may require prepaid credits, or one-time purchases.

By purchasing any paid service, you agree that:

  • Fees are payable in advance.

  • Payments are non-refundable unless required by applicable law.

  • Unused credits have no cash value.

  • Pricing may be modified at any time.

8. Service Availability

While we strive to maintain reliable service, we do not guarantee uninterrupted availability.

The Service may experience interruptions due to:

  • Maintenance activities.

  • Infrastructure failures.

  • Third-party service outages.

  • Security incidents.

  • Events beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any feature at any time.

9. Data and Privacy

You are solely responsible for ensuring that any contact information, customer data, or other information uploaded to the platform has been collected lawfully and may be processed in accordance with applicable laws.

  • Abuse of the Service is detected.

  • Activity threatens the stability, security, or reputation of the platform.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, thehp disclaims all warranties, whether express or implied, including but not limited to:

  • Merchantability.

  • Fitness for a particular purpose.

  • Non-infringement.

  • Continuous availability.

  • Error-free operation.

Your use of the Service is entirely at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, thehp, its directors, employees, contractors, affiliates, and partners shall not be liable for:

  • Messaging account restrictions or bans.

  • Loss of business opportunities.

  • Loss of revenue or profits.

  • Loss of customers.

  • Message delivery failures.

  • Service interruptions.

  • Data loss.

  • Indirect, incidental, special, punitive, or consequential damages.

In all circumstances, the total liability of thehp shall not exceed the amount paid by the user to Prasar during the preceding three (3) months.

13. Indemnification

You agree to indemnify, defend, and hold harmless thehp, its affiliates, employees, contractors, and partners from and against any claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your use of the Service.

  • Your violation of these terms.

  • Your violation of applicable laws.

  • Your violation of third-party rights or platform policies.

14. Changes to the Terms

We may revise these terms from time to time.

Updated versions will be published on the website and will become effective immediately upon publication unless otherwise stated.

Continued use of the Service after such updates constitutes acceptance of the revised terms.

15. Governing Law

These terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
